Marketplace Seller Agreement

This Marketplace Seller Agreement (“Agreement”) governs your use of the Blaque Net marketplace (“Blaque Market”) to list, sell, promote, or distribute goods and services.

By using Blaque Market as a seller, you agree to this Agreement and all incorporated policies, including the Terms of Service, Payout & Monetization Policy, Refund Policy, Privacy Policy, Commerce Policy, and Community Guidelines.


1. Blaque Net Is Not a Seller, Merchant of Record, or Party to Transactions

Blaque Net is NOT the seller. Blaque Net is NOT the merchant of record. Blaque Net does NOT fulfill, ship, guarantee, or validate any product or service.

All transactions are strictly between:
You (the Seller) and the Buyer.

Blaque Net:

  • Does NOT handle physical goods.
  • Does NOT take possession of products.
  • Does NOT guarantee delivery, quality, legality, authenticity, or fitness of products or services.
  • Is NOT responsible for returns, disputes, cancellations, or chargebacks.

You assume full responsibility for your listings, products, service delivery, communication, refunds, and customer satisfaction.


2. Seller Eligibility Requirements

  • You must be at least 18 years old.
  • You must provide accurate business information and comply with your local laws.
  • You must only sell goods/services you have the legal right to sell.
  • You must maintain a valid payout method and tax information (if required).

3. Accurate Listings & Honest Representations

Sellers must:

  • Provide correct product descriptions, pricing, availability, and shipping timelines.
  • Use authentic images or clearly disclose if images are promotional mockups.
  • Ensure products are legal, safe, and compliant with local, state, and federal laws.
  • Disclose important information (e.g., materials, allergens, warranties, restrictions, expiration dates).

Misrepresentation may result in: suspension, permanent removal, or forfeiture of earnings.


4. Order Fulfillment & Shipping

You are solely responsible for:

  • Processing and fulfilling orders promptly.
  • Providing accurate shipping costs and delivery timeframes.
  • Using safe, compliant, and trackable shipping methods where applicable.
  • Communicating with customers regarding status updates or delays.

Blaque Net is not responsible for lost, delayed, damaged, or undelivered packages.


5. Digital Products & Services

If you sell digital goods (courses, downloads, templates, consulting, virtual sessions), you must ensure:
  • Files are accessible and free of malware.
  • Services are delivered as described.
  • You honor any guarantees or claims you advertise.

Blaque Net does not guarantee outcomes of coaching, consulting, or professional services.


6. Refunds, Returns & Cancellations

You—not Blaque Net—must handle all refund, return, and cancellation requests.

  • You must disclose your refund policy clearly in your listing.
  • You must comply with applicable consumer protection laws.
  • If a buyer disputes a charge with their bank, the amount may be deducted from your future payouts.

Blaque Net does not reimburse sellers for chargebacks, buyer dissatisfaction, or undelivered items.


7. Pricing, Taxes & Compliance

As a seller, you are responsible for:

  • Setting your own prices.
  • Collecting, reporting, and remitting taxes where required.
  • Complying with all business, tax, trade, and licensing regulations.

Blaque Net does not act as a tax agent or accountant.


8. Prohibited & Restricted Items

You may NOT sell:

  • Illegal or controlled items (drugs, weapons, etc.)
  • Counterfeit goods or replicas
  • Hate-related, extremist, or adult explicit products
  • Hazardous materials
  • Stolen or fraudulent goods
  • Unlicensed health, medical, or financial products

Violations may result in immediate account termination and reporting to authorities.


9. Payments, Earnings & Payouts

Earnings are subject to the Payout & Monetization Policy.

Blaque Net may withhold funds for:

  • Fraud prevention
  • Chargebacks or disputes
  • Policy violations
  • Incomplete or inaccurate seller information

10. Liability & Indemnification

You agree to fully indemnify and hold harmless Blaque Net, its officers, employees, and affiliates from any claims, damages, losses, liabilities, legal fees, disputes, or injuries arising from:

  • Your products or services
  • Your interactions with buyers
  • Your shipping, fulfillment, or delivery practices
  • Your business conduct, negligence, or misrepresentations

Blaque Net is not liable for any seller activity, product defects, injuries, damages, or financial disputes.


11. Account Suspension & Removal

Blaque Net may suspend or permanently ban sellers for:

  • Policy violations
  • Fraud or suspicious activity
  • Repeated disputes or chargebacks
  • Unsafe or illegal products
  • Poor customer experiences

We may withhold or forfeit earnings if required for legal, safety, or compliance reasons.


12. Offline Transactions

If you meet buyers offline or complete transactions outside the platform:

  • Blaque Net is not responsible for your safety.
  • Blaque Net is not liable for payments, losses, disputes, or damages.

All offline interactions are at your own risk.


13. Changes to This Agreement

Blaque Net may update this Agreement at any time. Continued use of Blaque Market constitutes acceptance of the updated terms.
