BLAQUE NET — TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the Blaque Net website, mobile apps, marketplace, Wallet, AI tools, directory, monetization features, and all associated services (“Services”). By accessing Blaque Net, you agree to these Terms.

1. Acceptance & Scope

By using the Services, you confirm that you have reviewed and accept these Terms, our Privacy Policy, and any additional policies incorporated herein. If you do not agree, discontinue all use of the Services.

2. Eligibility

Users must be at least 13 years old. Wallet, payouts, and certain monetization features require users to be at least 18. If using the Services on behalf of a business, you affirm you have authority to bind that entity.

3. Account Security

You are responsible for safeguarding your login credentials and for all activity under your Account. Blaque Net is not liable for unauthorized access due to your failure to secure your Account.

4. User Content

You retain ownership of the content you upload, but you grant Blaque Net a worldwide, royalty-free license to host, store, distribute, display, and use such content as needed to operate and improve the Services.

5. Prohibited Conduct

You may not use Blaque Net for illegal, harmful, fraudulent, deceptive, infringing, or abusive activities. Blaque Net may suspend or terminate Accounts that violate these Terms or any related policy.

6. Feature-Specific Disclaimers & Assumption of Risk

6.1. Marketplace (Blaque Market)

Blaque Net is not a seller, merchant, manufacturer, retailer, or provider of any goods or services. All transactions are strictly between the buyer and the seller.

• Blaque Net does not guarantee product descriptions, accuracy, legality, safety, or quality.
• Blaque Net is not responsible for delivery, refunds, returns, or customer service.
• Blaque Net does not monitor or control user communications.

You release Blaque Net from all claims and disputes related to marketplace transactions.

6.2. Wallet, Stored Value & Payouts

You acknowledge that Blaque Net is not a bank, money transmitter, or financial institution. Wallet balances:

• represent stored credit for platform use only,
• are not FDIC insured,
• may be frozen or adjusted for fraud prevention,
• are processed via third-party payment processors.

Blaque Net is not responsible for payment failures, chargebacks, processor errors, or settlement delays. Payouts are not guaranteed and may be reviewed or delayed.

6.3. Tips, Subscriptions & Monetization

• Blaque Net does not guarantee creator earnings.
• Creator perks, benefits, or access must be fulfilled by the creator.
• Blaque Net is not responsible for missed uploads, non-delivery, or unmet promises.
• Tips are voluntary and non-refundable.

6.4. Directory Listings & Verification

Business listings or verified badges do not constitute endorsement or guarantee. All interactions between users and businesses occur independently of Blaque Net.

6.5. Grants & Funding Opportunities

Grant listings, credit-building resources, and business tools are informational only. Blaque Net does not guarantee acceptance, eligibility, or approval for any grant or funding program.

6.6. Blaque Bot (AI Assistant)

Blaque Bot provides automated suggestions and informational responses. These do not constitute legal, financial, tax, or professional advice.

6.7. Circles, Groups & Community Discussions

Community spaces include user-generated content that may be inaccurate or misleading. Blaque Net does not verify or validate statements made in Circles.

6.8. Offline Events & Meetups

Users may participate in offline events at their own risk. Blaque Net is not responsible for conduct, injury, negligence, or disputes arising from in-person interactions.

7. Fees, Billing & Taxes

Fees for marketplace listings, upgrades, subscriptions, or digital services are final and non-refundable unless required by law or documented in a separate policy.

8. No Warranties

The Services are provided “as is” and “as available.” Blaque Net makes no warranties regarding uptime, performance, accuracy, reliability, results, or uninterrupted access.

9. Limitation of Liability

To the fullest extent permitted by law, Blaque Net is not liable for indirect, incidental, punitive, or consequential damages, including loss of profits, data, revenue, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Blaque Net, its officers, directors, employees, and affiliates from claims arising from:

• your use of the Services,
• your content,
• your interactions with other users,
• your violations of these Terms.

11. Arbitration & Class Action Waiver

Disputes shall be resolved through binding arbitration in Los Angeles County, CA. You waive the right to class actions or representative claims.

12. Governing Law

These Terms are governed by the laws of the State of California.
