BLAQUE NET — TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the Blaque Net website, mobile applications (iOS and Android), marketplace, Wallet, AI-powered tools (including Business Buddy, Career Coach Bot, Resume Builder, and Welcome Bot), business directory, job listings, educational courses, community features, monetization tools, partnership programs, and all associated services (collectively, the "Services"). By accessing or using Blaque Net, you agree to be bound by these Terms.

⚠️ IMPORTANT NOTICE

Blaque Net is a platform that connects users with resources, tools, and opportunities. We do not guarantee outcomes, results, approvals, partnerships, employment, funding, or any specific benefits from using our Services. You are solely responsible for your own decisions and due diligence.


1. Acceptance & Scope

By accessing, browsing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies, guidelines, or rules applicable to specific Services or features. If you do not agree, you must immediately discontinue all use of the Services.

Blaque Net reserves the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.


2. Eligibility & Age Requirements

Minimum Age: General platform access requires users to be at least 13 years old. Certain features including Wallet services, payouts, job applications, course purchases, monetization tools, and business partnerships require users to be at least 18 years old.

COPPA Compliance: Blaque Net complies with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information from children under 13. If we discover that a child under 13 has provided personal information, we will immediately delete their account and all associated data.

Parental Consent (13-17 Year Olds): If you are between 13 and 17 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Parents/guardians may be held responsible for minors' use of the Services.

Age Verification: Blaque Net reserves the right to request proof of age at any time. Failure to provide verification may result in account suspension or termination.

Age Misrepresentation: If you misrepresent your age and we discover you are under the minimum age requirement, your account will be immediately terminated without refund of any fees paid.

Business Accounts: If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that:

  • You are at least 18 years old
  • You have the authority to bind that entity to these Terms
  • The entity is validly existing and in good standing

3. Account Security & Responsibility

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Immediately notifying Blaque Net of any unauthorized access or security breach
  • Ensuring all information provided is accurate, current, and complete

Blaque Net is not liable for any loss, damage, or liability arising from unauthorized access to your Account resulting from your failure to maintain Account security.


4. User Content & License Grant

You retain ownership of all content, materials, information, resumes, business profiles, posts, comments, and other data you submit, upload, or make available through the Services ("User Content").

By submitting User Content, you grant Blaque Net a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with operating, promoting, and improving the Services.

You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.


5. Prohibited Conduct

You agree not to use the Services to:

  • Engage in illegal, fraudulent, deceptive, harmful, or abusive activities
  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, threaten, stalk, or harm other users
  • Upload malicious code, viruses, or other harmful materials
  • Attempt to gain unauthorized access to any systems or user accounts
  • Scrape, data mine, or extract data without authorization
  • Interfere with or disrupt the Services or servers
  • Create fake accounts, manipulate metrics, or engage in fraudulent activity

Blaque Net reserves the right to suspend, terminate, or restrict access to any Account that violates these Terms or any applicable policy, with or without notice.


6. Feature-Specific Terms, Disclaimers & Assumption of Risk

The following provisions apply to specific features and services offered through Blaque Net. By using these features, you explicitly acknowledge and accept the associated risks and limitations.

6.1. Marketplace (Blaque Market)

PLATFORM-ONLY STATUS: Blaque Net operates exclusively as a technology platform that facilitates connections between independent buyers and sellers. We are NOT:

  • A seller, merchant, manufacturer, retailer, wholesaler, distributor, or service provider
  • A party to any transaction, sale, purchase, or exchange between users
  • Responsible for product quality, safety, authenticity, legality, condition, or accuracy of listings
  • Responsible for delivery, shipping, fulfillment, packaging, returns, refunds, exchanges, or customer service
  • An escrow service, payment guarantor, or financial intermediary
  • A warranty provider or guarantor of merchantability

ALL MARKETPLACE TRANSACTIONS ARE STRICTLY BETWEEN BUYERS AND SELLERS. You acknowledge and expressly agree that:

  • No Transaction Monitoring: Blaque Net does not monitor, supervise, or participate in negotiations, communications, or agreements between buyers and sellers
  • No Refund Obligations: Blaque Net has NO obligation to provide refunds, reimbursements, chargebacks, or compensation for any marketplace transaction
  • No Dispute Resolution: Blaque Net is not responsible for mediating, resolving, or adjudicating disputes between buyers and sellers

BUYER RESPONSIBILITIES: As a buyer, you are solely responsible for:

  • Conducting thorough due diligence before any purchase
  • Verifying seller reputation, credentials, and trustworthiness
  • Reviewing product descriptions, photos, specifications, and terms
  • Asking questions and requesting additional information before purchasing
  • Understanding all payment terms, shipping policies, and return conditions
  • Inspecting items upon receipt and documenting any issues immediately
  • Resolving disputes directly with the seller

SELLER RESPONSIBILITIES: As a seller, you are solely responsible for:

  • Providing accurate, complete, and truthful product descriptions
  • Disclosing all material defects, conditions, or limitations
  • Setting fair pricing and honoring all listing terms
  • Fulfilling orders, shipping items as described, and providing tracking
  • Handling customer service, returns, refunds, and exchanges according to your stated policies
  • Complying with all applicable laws, regulations, and licensing requirements
  • Paying all applicable taxes, fees, and reporting requirements

PROHIBITED TRANSACTIONS: The following are strictly prohibited on Blaque Market:

  • Illegal, stolen, counterfeit, or unauthorized goods
  • Items that violate intellectual property rights
  • Weapons, explosives, hazardous materials, or controlled substances
  • Adult content, escort services, or sexual services
  • Live animals (except as permitted by law with proper documentation)
  • Fraudulent listings, misleading descriptions, or bait-and-switch tactics
  • Money laundering, tax evasion, or financial fraud schemes

COMMON MARKETPLACE ISSUES - BLAQUE NET IS NOT LIABLE FOR:

  • ❌ Items not matching descriptions or photos
  • ❌ Items arriving damaged, defective, or in poor condition
  • ❌ Items never shipped or not received by buyer
  • ❌ Wrong items shipped or incorrect quantities
  • ❌ Delayed shipping, lost packages, or courier failures
  • ❌ Seller refusing refunds, returns, or exchanges
  • ❌ Seller becoming unresponsive after payment
  • ❌ Price disputes, overcharging, or hidden fees
  • ❌ Counterfeit, fake, or knock-off products
  • ❌ Stolen goods or fraudulent listings
  • ❌ Health, safety, or regulatory violations
  • ❌ Intellectual property infringement
  • ❌ Buyer's remorse or change of mind
  • ❌ Payment processing errors or failed transactions

RELEASE OF LIABILITY: By using Blaque Market, YOU EXPRESSLY AND IRREVOCABLY RELEASE, WAIVE, AND FOREVER DISCHARGE BLAQUE NET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LIABILITIES, LOSSES, COSTS, OR EXPENSES (INCLUDING ATTORNEY'S FEES) ARISING FROM OR RELATED TO:

  • Any marketplace transaction, purchase, sale, or exchange
  • Product quality, defects, safety issues, or misrepresentations
  • Non-delivery, delayed delivery, or shipping problems
  • Refund disputes, return issues, or payment problems
  • Seller misconduct, fraud, or criminal activity
  • Intellectual property violations or counterfeit goods
  • Personal injury, property damage, or economic loss
  • Any other dispute or issue between marketplace users

IF YOU ARE NOT SATISFIED WITH A MARKETPLACE TRANSACTION, YOUR SOLE REMEDY IS TO PURSUE RESOLUTION DIRECTLY WITH THE OTHER PARTY. BLAQUE NET HAS NO LIABILITY OR OBLIGATION TO INTERVENE, COMPENSATE, OR PROVIDE REFUNDS.

6.1A. International Sellers & Cross-Border Transactions

Blaque Market welcomes sellers and buyers from around the world. However, cross-border commerce involves additional complexities and risks that domestic transactions do not face.

⚠️ INTERNATIONAL TRANSACTION DISCLAIMER

Blaque Net does NOT handle customs, duties, import/export compliance, international shipping, or cross-border regulations. All international transactions are the sole responsibility of buyers and sellers. We are a technology platform ONLY.

What Blaque Net Does NOT Do for International Transactions:

  • No Customs Services: We do not handle customs clearance, paperwork, declarations, or compliance
  • No Duty/Tax Collection: We do not pay, collect, calculate, or remit import duties, VAT, GST, or tariffs
  • No Verification: We do not verify export/import legality for specific products or countries
  • No Shipping Services: We do not provide international carriers, tracking, or delivery guarantees
  • No Customs Mediation: We do not intervene in customs disputes or seized packages
  • No Currency Services: We do not provide exchange rate guarantees or currency hedging
  • No Import/Export Registration: We do not act as importer/exporter of record
  • No Trade Compliance Advice: We do not provide legal guidance on international trade laws

Blaque Net's Role: We provide the technology platform that connects buyers and sellers globally. We process payments in USD and facilitate communication. All international compliance, shipping, customs, duties, and risk management is YOUR sole responsibility.

International Seller Responsibilities:

If you sell to buyers in other countries, you are solely responsible for:

  • Export Compliance: Ensuring products can be legally exported from your country and obtaining required export licenses
  • Import Compliance: Verifying products can be legally imported into buyer's country and meet destination country regulations
  • Customs Documentation: Providing accurate customs forms, commercial invoices, declarations, HS codes, and certificates of origin
  • Duties & Taxes: Clearly disclosing who pays import duties, VAT, GST, and other taxes (buyer or seller)
  • Prohibited Items: Researching destination country restrictions—some countries ban items that are legal in your country
  • Shipping Regulations: Using appropriate international carriers (DHL, FedEx, UPS, EMS) with tracking and insurance
  • Accurate Declarations: Declaring true item values on customs forms (under-declaring is fraud)
  • International Returns: Establishing clear policies for cross-border returns and who pays expensive return shipping
  • Product Standards: Ensuring products meet destination country safety standards, voltage requirements, and certifications
  • Tax Compliance: Declaring international income to your tax authority and understanding tax treaties

International Buyer Responsibilities:

If you purchase from international sellers, you are solely responsible for:

  • Import Duties & Taxes: Paying ALL customs duties, VAT, GST, import taxes, and handling fees assessed by your country
  • Customs Clearance: Facilitating customs clearance, providing required documentation, and paying storage fees if packages are held
  • Legal Verification: Ensuring purchased items are legal to import and possess in your country
  • Delivery Delays: Understanding international shipping takes 2-6 weeks minimum, with additional customs inspection delays
  • Currency Costs: Accepting currency conversion rates and foreign transaction fees charged by your bank
  • Return Shipping: Paying international return shipping costs, which are often extremely expensive
  • Product Compatibility: Verifying voltage compatibility (110V vs 220V), plug types, and warranty coverage in your country

⚠️ EXAMPLE: Hidden International Costs

You purchase a $100 item from a U.S. seller. Your country may charge:

  • 20% VAT = $20
  • 10% import duty = $10
  • Customs handling fee = $15
  • TOTAL ADDITIONAL COST: $45

Refusing to pay these fees will result in your package being returned or destroyed. Blaque Net is NOT responsible for reimbursing these costs.

Common International Transaction Issues – Blaque Net Is NOT Liable For:

  • ❌ Packages seized, held, or destroyed by customs authorities
  • ❌ Import duties, tariffs, VAT, GST, or taxes assessed by destination countries
  • ❌ Delivery delays due to customs inspections or regulations (can add 1-4 weeks)
  • ❌ Products prohibited or restricted in buyer's country
  • ❌ Currency conversion losses or exchange rate fluctuations
  • ❌ International shipping carrier failures, lost packages, or damage during transit
  • ❌ Differences in product standards or regulations between countries (voltage, safety certifications)
  • ❌ Warranty or support issues for products purchased across borders
  • ❌ Language barriers or miscommunication between international parties
  • ❌ Differences in consumer protection laws between countries
  • ❌ Fraud or scams involving international sellers or buyers
  • ❌ Refused packages that are returned to sender or destroyed by customs
  • ❌ Expensive return shipping costs for international returns (often exceeds item value)

High-Risk International Product Categories:

The following categories face severe international restrictions and require special attention:

  • Animal Products: Ivory, fur, leather, and exotic animal products face strict CITES international controls
  • Tobacco & Alcohol: Heavily taxed, regulated, and restricted in most countries

  • Electronics: Voltage differences (110V vs 220V), safety certifications (CE mark, FCC), high import duties
  • Cosmetics & Beauty Products: Must meet destination country safety standards and ingredient restrictions
  • Batteries & Lithium Products: Classified as dangerous goods with strict shipping restrictions
  • Medical Devices: Require country-specific certifications (CE mark, FDA approval)
  • Chemicals & Aerosols: Hazardous material shipping restrictions
  • Textiles & Clothing: May face import quotas or anti-dumping duties

Recommendation for Sellers: If your products fall in extreme or high-risk categories, strongly consider restricting sales to domestic buyers only. Use marketplace settings to limit shipping to specific countries.

Payment Processing for International Transactions:

  • All transactions are processed in U.S. Dollars (USD) regardless of buyer/seller location
  • International sellers receive payouts in USD (subject to currency conversion by payment processors)
  • International buyers' banks will charge foreign transaction fees (typically 1-3%)
  • Currency conversion rates are set by payment processors (Stripe, PayPal), not Blaque Net
  • Exchange rates fluctuate—the rate at purchase time may differ from the rate when charges post
  • Blaque Net does not provide currency hedging, exchange rate guarantees, or protection against fluctuations

Sanctions & Trade Compliance:

International sellers and buyers must comply with:

  • U.S. export controls and sanctions administered by OFAC (Office of Foreign Assets Control)
  • U.S. Department of Commerce export restrictions
  • United Nations sanctions and embargoes
  • European Union trade restrictions
  • Destination country import regulations and licensing requirements

Prohibited Jurisdictions: Users may not conduct transactions with individuals or entities in countries subject to comprehensive U.S. sanctions, including but not limited to:

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Crimea region of Ukraine
  • Any other country subject to U.S. embargo

Dispute Resolution for International Transactions:

Resolving disputes across international borders is extremely difficult and often impractical:

  • Legal Challenges: Different countries have different consumer protection laws and enforcement mechanisms
  • Jurisdiction Issues: Enforcing judgments across borders is difficult or impossible without international treaties
  • High Legal Costs: Attorney fees and translation costs often exceed the value of disputed items
  • Language Barriers: Communication difficulties complicate dispute resolution
  • Small Claims Limitations: Small claims courts typically don't handle international cases

Arbitration Requirement: Blaque Net's arbitration clause (Section 13) applies to all users regardless of location. This means:

  • All disputes must be resolved through binding arbitration
  • Arbitration takes place in Los Angeles County, California, USA
  • International users consent to U.S. jurisdiction when using the Platform
  • Arbitration conducted in English
  • Travel to U.S. or remote participation may be required
  • Legal representation and translation costs are your responsibility

Practical Reality: For many international disputes, the cost of arbitration exceeds the value of the disputed transaction. You should consider international transaction losses as an inherent risk of cross-border commerce.

International Tax Obligations:

Sellers: You are responsible for:

  • Declaring income earned from international sales to your country's tax authority
  • Understanding tax treaties between your country and buyer countries
  • Collecting and remitting VAT, GST, or sales tax as required by buyer's jurisdiction (many countries now require this)
  • Registering for foreign tax collection if you exceed country-specific thresholds
  • Maintaining proper records for customs and tax purposes
  • Consulting tax professionals about cross-border tax obligations

Buyers: You are responsible for:

  • Declaring purchases for customs purposes upon entry into your country
  • Paying all assessed duties, taxes, VAT, GST, and customs fees
  • Understanding your country's de minimis threshold (duty-free limit for low-value goods)
  • Reporting large purchases to your tax authority if required

6.2. Wallet, Stored Value, Payments & Payouts

NOT A BANK OR FINANCIAL INSTITUTION: Blaque Net is NOT a bank, financial institution, money transmitter, payment service provider, or holding company. You acknowledge that:

    • Wallet balances represent stored credit for platform use only, not cash deposits or savings accounts
    • Funds are NOT FDIC insured, SIPC protected, or backed by any government guarantee
    • Funds do not earn interest, dividends, or investment returns
    • Wallet balances may be frozen, adjusted, or withheld for fraud prevention, compliance, investigation, or Terms violations
    • All payment processing is handled by third-party processors (Stripe, PayPal, etc.)
    • Blaque Net is not responsible for payment failures, processor errors, chargebacks, declined transactions, or settlement delays
    • Payouts are not guaranteed and may be subject to review, verification, tax reporting, or holding periods

πŸ’° WALLET BALANCE RISKS:

  • Not a Savings Account: Do not use Wallet as a long-term storage solution for funds. Withdraw earnings regularly.
  • Platform Closure Risk: If Blaque Net ceases operations, wallet balances may be subject to complex liquidation processes with no guaranteed recovery timeline
  • No Consumer Protections: Wallet funds are not protected by banking regulations, deposit insurance, or consumer financial protection laws
  • Account Termination: If your Account is terminated for Terms violations, wallet balances may be forfeited or subject to holding periods for investigation
  • Dormancy: Inactive accounts with balances may be subject to administrative fees or escheatment to state unclaimed property offices

WITHDRAWAL RECOMMENDATIONS: We strongly recommend withdrawing funds regularly rather than maintaining large balances in your Wallet. Blaque Net is not responsible for losses if you choose to store funds long-term in your Wallet.

PAYMENT PROCESSOR DEPENDENCIES: All monetary transactions depend on third-party payment processors. Blaque Net has no control over and is not liable for:

    • Payment processor service outages, technical failures, or policy changes
    • Account holds, freezes, or closures imposed by payment processors
    • Currency conversion fees, international transfer fees, or processing charges
    • Payment processor disputes, chargebacks, or fraud investigations
    • Changes to payout schedules, minimum withdrawal amounts, or supported countries

6.3. Tips, Subscriptions, Monetization & Creator Tax Obligations

Blaque Net provides tools for creators to monetize content through tips, subscriptions, paid content, and other features, but does NOT:

    • Guarantee any level of earnings, engagement, or subscriber growth
    • Verify or enforce creator promises, perks, benefits, or exclusive content delivery
    • Provide refunds for tips, which are voluntary and non-refundable
    • Monitor compliance with subscription tiers or content schedules
    • Act as your tax advisor, accountant, or financial planner

⚠️ CRITICAL TAX COMPLIANCE NOTICE

YOU ARE SOLELY RESPONSIBLE FOR ALL TAX OBLIGATIONS ON INCOME EARNED THROUGH BLAQUE NET.

YOUR TAX RESPONSIBILITIES:

    • Income Reporting: All earnings from tips, subscriptions, content sales, marketplace transactions, and any other monetization are considered taxable income that you must report to the IRS and applicable state/local tax authorities
    • Self-Employment Tax: If you earn income through Blaque Net, you may be classified as self-employed and responsible for paying self-employment tax (Social Security and Medicare taxes) in addition to income tax
    • Estimated Quarterly Taxes: You may be required to make quarterly estimated tax payments to the IRS if you expect to owe $1,000 or more in taxes
    • Record Keeping: You are responsible for maintaining accurate records of all income, expenses, and transactions for tax purposes
    • State and Local Taxes: You are responsible for complying with state, local, and international tax obligations based on your location and the location of your customers
    • Sales Tax: Depending on your location and what you sell, you may be required to collect and remit sales tax on transactions

IRS REPORTING BY BLAQUE NET:

    • Blaque Net is required by law to report certain payment information to the IRS
    • If you earn $600 or more in a calendar year, Blaque Net or its payment processors may issue you a Form 1099-K or 1099-NEC
    • You are responsible for providing accurate tax information (SSN, EIN, W-9 forms) when requested
    • Failure to provide required tax information may result in backup withholding (24% of earnings) or payout delays
    • Even if you do NOT receive a 1099 form, you are still legally required to report ALL income to the IRS

INTERNATIONAL USERS: If you are located outside the United States, you are responsible for understanding and complying with tax obligations in your country, including VAT, GST, income tax, and any tax treaties between your country and the U.S.

BLAQUE NET DOES NOT PROVIDE TAX ADVICE:

    • Blaque Net is not a tax advisor and does not provide tax, accounting, or financial advice
    • We do not determine your tax classification (employee vs. independent contractor vs. business owner)
    • We do not advise on deductible expenses, tax strategies, or tax planning
    • We strongly recommend consulting a qualified tax professional, CPA, or tax attorney

TAX NON-COMPLIANCE RISKS: Failure to report income or pay taxes can result in:

    • IRS audits, penalties, interest charges, and back taxes
    • Criminal prosecution for tax evasion in severe cases
    • Garnishment of wages, bank accounts, or assets
    • Negative impact on credit scores and future loan applications

BLAQUE NET IS NOT LIABLE FOR YOUR TAX OBLIGATIONS, PENALTIES, OR LEGAL CONSEQUENCES FROM TAX NON-COMPLIANCE. CONSULT A TAX PROFESSIONAL IMMEDIATELY IF YOU HAVE QUESTIONS.

CREATOR RESPONSIBILITIES TO SUBSCRIBERS:

Creators are solely responsible for fulfilling all promises made to subscribers and tip supporters. Subscribers acknowledge that access, perks, and content quality are determined by the creator, not Blaque Net.

6.4. Business Directory & Verification Badges

INFORMATIONAL DIRECTORY ONLY: The Blaque Net Business Directory is a self-service listing platform where businesses can create profiles to increase visibility. Directory inclusion, business listings, and verification badges are informational only and do NOT constitute:

    • Endorsement, recommendation, sponsorship, or approval by Blaque Net
    • Verification of business legitimacy, financial stability, or operational status
    • Confirmation of credentials, licenses, certifications, or qualifications
    • Guarantee of service quality, reliability, professionalism, or customer satisfaction
    • Background checks, reference verification, or due diligence
    • Compliance verification with laws, regulations, or industry standards

Blaque Net does NOT verify, validate, or investigate:

  • Business registration, licensing, or legal status
  • Owner identity, criminal background, or business history
  • Service capabilities, expertise, or experience claims
  • Customer reviews, testimonials, or ratings (which may be fake or manipulated)
  • Contact information, addresses, or operational legitimacy
  • Insurance coverage, bonding, or financial solvency
  • Compliance with consumer protection laws or industry regulations

VERIFICATION BADGES: Any "verified" badge, checkmark, or premium designation indicates only that:

    • The business has completed basic profile information
    • The email address or phone number was confirmed (not identity-verified)
    • The business may have paid for premium listing features

Verification badges do NOT mean the business has been:

    • Investigated, vetted, or approved by Blaque Net
    • Background-checked or license-verified

To increase efficiency and reduce costs, if 25 or more similar arbitration demands are filed against Blaque Net by the same law firm or organization (a "Mass Filing"), the following process shall apply:

    • Bellwether Proceedings: The parties shall select 10 representative cases to proceed to arbitration first ("Bellwether Arbitrations")
    • Stayed Claims: All other claims shall be stayed pending resolution of the Bellwether Arbitrations
    • Global Settlement Discussion: After Bellwether Arbitrations conclude, the parties shall engage in good faith global settlement discussions
    • Fee Allocation: In Mass Filings, Blaque Net shall pay arbitration filing fees only for the Bellwether Arbitrations

This provision is severable. If it is found unenforceable, individual arbitration shall proceed for all claims.


14. Governing Law & Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.


15. Termination & Suspension

Blaque Net may suspend, restrict, or terminate your access to the Services at any time, with or without cause, with or without notice, including for:

    • Violation of these Terms or any applicable policy
    • Fraudulent, illegal, or harmful activity
    • Non-payment of fees or chargebacks
    • Abuse of features or exploitation of vulnerabilities
    • Inactivity or abandonment of Account
    • Complaints from other users or third parties
    • Legal or regulatory requirements

Upon termination, your right to use the Services ceases immediately. You remain liable for all obligations incurred before termination.

Provisions that by their nature should survive termination (including liability limitations, indemnification, dispute resolution, and intellectual property rights) shall remain in effect.

Account Data: Upon termination, Blaque Net may delete your Account data after 30 days. Back up any important information before Account closure.


16. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information.

By using the Services, you consent to our data practices as described in the Privacy Policy.


17. Modifications to Terms

Blaque Net reserves the right to modify, update, or replace these Terms at any time. Material changes will be communicated via email, platform notification, or posting on the website at least 30 days before taking effect.

Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to modifications, you must discontinue use of the Services.

We encourage you to review these Terms periodically for updates.


18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.


19. Waiver

Blaque Net's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Blaque Net.

No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.


20. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without Blaque Net's prior written consent. Any attempted assignment in violation of this provision shall be void.

Blaque Net may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets without your consent.


21. Force Majeure

Blaque Net shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.


22. Export Control, Sanctions & Prohibited Jurisdictions

You agree to comply with all applicable export control laws and economic sanctions regulations, including those administered by the U.S. Department of Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce.

Prohibited Jurisdictions: You represent and warrant that you are not:

    • Located in, under the control of, or a national or resident of: Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, or any other country subject to comprehensive U.S. embargo
    • On any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) List, the Denied Persons List, or the Entity List
    • Subject to any restrictions that would prohibit you from using the Services

Ongoing Compliance: You agree to:

    • Not use the Services to export, re-export, or transfer data or technology in violation of applicable laws
    • Not provide access to the Services to individuals or entities on restricted party lists
    • Immediately notify us if you become subject to sanctions or export restrictions

Consequences of Violations: If you are found to be in a prohibited jurisdiction or on a restricted party list, your account will be immediately terminated without refund, and we may be required to report your activity to government authorities.

Changes to Prohibited Jurisdictions: The list of prohibited jurisdictions may change based on evolving U.S. foreign policy. We reserve the right to block access from newly sanctioned regions without prior notice.

No oral explanation or oral information given by either party shall alter the interpretation of these Terms.


25. Section 230 Protection & Content Moderation

Blaque Net is protected under Section 230 of the Communications Decency Act (47 U.S.C. § 230) as an interactive computer service provider. You acknowledge that:

    • Blaque Net is not the publisher or speaker of User Content posted by third parties
    • Blaque Net is not liable for User Content, even if notified of its unlawful nature
    • Blaque Net's decision to monitor, edit, or remove content does not create liability
    • Content moderation decisions are made in good faith and at our sole discretion
    • Blaque Net has no obligation to pre-screen, monitor, review, or remove User Content
    • Automated filtering and AI-based content moderation may result in errors

Content Removal: Blaque Net reserves the right, but has no obligation, to remove, screen, edit, or monitor User Content that violates these Terms or applicable law. Our failure to remove content does not constitute approval or endorsement.

No Duty to Users: We have no duty to any user regarding content moderation decisions, including no duty to restore removed content, reinstate suspended accounts, or provide explanations for moderation actions.


26. Digital Millennium Copyright Act (DMCA) & Intellectual Property

Blaque Net respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

26.1. DMCA Takedown Procedure

If you believe your copyrighted work has been infringed on Blaque Net, send a DMCA takedown notice to our designated Copyright Agent with the following information:

    • Physical or electronic signature of the copyright owner or authorized agent
    • Identification of the copyrighted work claimed to be infringed
    • Identification of the infringing material and its location on Blaque Net (URL)
    • Your contact information (name, address, telephone, email)

    • A statement under penalty of perjury that the information is accurate and you are authorized to act

Blaque Net will terminate accounts of users who are repeat copyright infringers. We maintain a policy of terminating, in appropriate circumstances, accounts of users who repeatedly infringe copyrights or other intellectual property rights.

26.4. Trademark Infringement

    • Trademark registration information or proof of common law trademark rights
    • Description of the alleged infringement with specific URLs
    • Explanation of how the use causes confusion or dilution

Good Faith Requirement: You may be liable for damages, including costs and attorneys' fees, if you knowingly materially misrepresent that content is infringing. False DMCA claims may result in legal action.


27. Law Enforcement & Legal Process Cooperation

Blaque Net reserves the right to cooperate with law enforcement, government agencies, and private parties to enforce and comply with the law. We may disclose any information about you to law enforcement, government officials, or private parties as we, in our sole discretion, believe necessary or appropriate:

    • To respond to claims, legal process (including subpoenas and court orders)
    • To protect the property and rights of Blaque Net or third parties
    • To protect the safety of the public or any person
    • To prevent or stop illegal, unethical, or legally actionable activity
    • To comply with regulatory requirements or government requests
    • To investigate fraud, security breaches, or Terms violations

No Liability for Disclosure: You agree that Blaque Net shall not be liable for any disclosure of your information to law enforcement or government authorities, whether such disclosure is made pursuant to legal process or in our good faith belief that such disclosure is necessary.

Preservation Requests: We may preserve account information and content in response to formal preservation requests from law enforcement, even before receiving a subpoena or court order.

Emergency Disclosures: In emergency situations involving danger of death or serious physical injury, we may provide information to law enforcement without legal process if we believe in good faith that disclosure is necessary to prevent harm.


28. Government and Public Sector Users

If you are a U.S. federal, state, or local government entity, or using the Services on behalf of a government entity, the following additional terms apply:

Government Rights: The Services are "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212 and DFARS 227.7202. Government use, reproduction, or disclosure is subject to the restrictions set forth in these Terms.

Notification Timeline: We will provide notification without unreasonable delay, consistent with the legitimate needs of law enforcement and any measures necessary to determine the scope of the breach and restore system integrity.

Your Responsibilities: In the event of a breach, you are responsible for:

    • Monitoring your accounts for unauthorized activity
    • Changing your password immediately
    • Reviewing your account activity and reporting suspicious transactions
    • Taking steps to protect your personal information (credit monitoring, fraud alerts, etc.)

Limitations: We are not liable for breaches caused by:

    • Your failure to maintain account security (weak passwords, password sharing)
    • Third-party breaches of external services you've connected to your account
    • Breaches of payment processors or other service providers
    • Social engineering attacks (phishing, pretexting)

YOU ACKNOWLEDGE THAT DATA BREACHES ARE AN INHERENT RISK OF INTERNET-BASED SERVICES AND AGREE THAT BLAQUE NET'S LIABILITY FOR BREACHES IS LIMITED AS SET FORTH IN SECTION 11.


30. Beta Features, Experimental Services & Product Changes

Blaque Net may offer access to beta, pilot, experimental, or early-access features ("Beta Features"). You acknowledge that Beta Features are provided "AS IS" and may:

    • Contain bugs, errors, or defects
    • Not function as intended or described
    • Be modified, discontinued, or withdrawn at any time without notice
    • Result in data loss or corruption
    • Not be subject to the same security, privacy, or performance standards as generally available features

No Warranties for Beta Features: Beta Features are provided with NO WARRANTIES WHATSOEVER. All disclaimers in Section 10 apply with additional force to Beta Features.

Feedback & Suggestions: If you provide feedback, suggestions, or ideas about Beta Features or any aspect of the Services ("Feedback"), you grant Blaque Net a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and commercialize such Feedback without compensation or attribution.

Product Changes: Blaque Net reserves the right to:

    • Modify, suspend, or discontinue any feature or service at any time
    • Change pricing, functionality, or availability without prior notice
    • Remove features from free tiers and make them premium-only
    • Retire deprecated APIs or integrations

No Refunds for Discontinued Features: If we discontinue a paid feature or service, we are not obligated to provide refunds for unused subscription periods. Your sole remedy is to cancel your subscription.
